This contract is an official and public offer of the Contractor to conclude a contract for the provision of services presented within the information resources of the ZOOSTRICHI platform.

This contract is public, that is, in accordance with Article 633 of the Civil Code of Ukraine, its conditions are the same for all buyers/customers - individuals, natural persons - entrepreneurs, legal entities, without giving preference to one buyer/customer over another.

By entering into this Agreement, the Customer fully accepts the terms and conditions of placing an order, paying for services, providing services, liability for an unscrupulous order and all other terms of the agreement.

The contract is considered concluded from the moment of confirmation of the order for services on the information resources of the ZOOSTRICHI platform.

1.      DEFINITION OF TERMS

1.1.   Public offer (hereinafter - the "Offer") - a public offer of the Contractor, addressed to an unspecified circle of persons, to conclude a service contract with the Contractor remotely (hereinafter - the "Agreement") on the terms contained in this Offer.

1.2.   The service is the object of the agreement of the parties, which was chosen by the Customer or already purchased by the Customer on the information resources of the ZOOSTRICHI platform.

1.3.   The customer is an able-bodied natural person who has reached the age of 18, a duly registered natural person - an entrepreneur, a legal entity that receives information from the Contractor, places an order for services on the information resources of the ZOOSTRICHI platform.

1.4.  The executor is the limited liability company "GRUPIUS" (identification code 44822976), a legal entity that was created and operates in accordance with the current legislation of Ukraine, whose location is: Ukraine, 08205, Kyiv region, Buchansky district, Irpin city, Universitetskaya street, building 2/1, office 56/1.

2.   SCOPE OF THE CONTRACT

2.1.  The Contractor undertakes to provide the Customer with the Services, and the Customer undertakes to pay for and accept the Services under the terms of this Agreement.

2.2.  The date of conclusion of the Contract-offer (acceptance of the offer) and the moment of full and unquestionable acceptance by the Customer of the terms of the Contract shall be considered the date of confirmation of the order by the Customer on the information resources of the ZOOSTRICHI platform. If necessary, at the request of the Customer, the Agreement can be executed in writing.

3.     PROCESSING THE ORDER

3.1.   The customer independently issues an order for Services on the information resources of the GRUPIUS platform, according to posted forms and instructions.

3.2.  The Contractor has the right to refuse to hand over the order to the Customer in the event that the information provided by the Customer at the time of placing the order is incomplete or causes suspicion regarding their validity.

3.3.  If any of the Parties to the contract needs additional information, it has the right to request it from the other Party. If the Customer does not provide the necessary information, the Contractor is not responsible for providing quality service to the Customer.

3.4.  The Customer is responsible for the accuracy of the information provided when placing the Order.

3.5.  Concluding the Agreement, i.e. accepting the terms of this offer by placing an Order, the Customer confirms that he is fully and completely acquainted with and agrees with the terms of this offer (offer).

4.      COST OF SERVICES

4.1   The cost of the Services is determined by the Contractor independently and indicated on the information resources of the ZOOSTRICHI platform. All prices for the Services are indicated in hryvnias.

4.2  The cost of the Services may be changed by the Contractor unilaterally depending on the market conditions. The cost of the Service, paid in full by the Customer, cannot be changed unilaterally by the Contractor.

4.3.  The Customer's obligations to pay for the Services are considered fulfilled from the moment the Customer receives the funds to his account.

4.4.  Calculations between the Contractor and the Customer for the Goods are carried out by the methods indicated on the information resources of the ZOOSTRICHI platform.

4.5. In the event that the services were not provided by the Contractor, due to the fault of the latter, the Contractor is obliged to return the funds to the Customer within 30 calendar days from the moment of receiving a written demand from the Customer.

4.6. The Customer has the right to request a refund before the start of the provision of services, but such a request for a refund must be sent by the Customer no later than 7 days before the start of the provision of services, in case of violation of this period, the funds will not be returned.

4.7. In the case of partial provision of services by the Contractor, the money will not be returned to the Customer.

5.   RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1.   The executor is obliged to:

5.1.1. Provide the Customer with Services in accordance with the terms of this Agreement. If by the 5th day of the month following the month in which the Services were provided, the Customer does not provide the Contractor with objections and/or comments regarding the Services (quality, timeliness, etc.), the Services in the corresponding month are considered to have been provided by the Contractor and accepted by the Customer without comments and objections.

5.1.2. Not to disclose any private information about the Customer and not to provide access to this information to third parties, except for cases provided by law and during the execution of the Customer's Order.

5.2.   The executor has the right to:

5.2.1. Change the terms of this Agreement, as well as the prices of the Services, unilaterally, by posting them on the information resources of the ZOOSTRICHI platform. All changes take effect from the moment of their publication on the information resources of the ZOOSTRICHI platform.

5.3    The customer undertakes:

5.3.1. Before concluding the Agreement, familiarize yourself with the content of the Agreement, the terms of the Agreement and the prices offered by the Contractor.

5.3.2. In order for the Executor to fulfill his obligations to the Customer, the latter must provide all the necessary data that uniquely identify him as the Customer.

6.      RESPONSIBILITY

6.1.    The contractor is not responsible for improper, untimely fulfillment of orders and its obligations in the event that the Customer provides inaccurate or erroneous information.

6.2.   The Contractor and the Customer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.

6.3.   The Contractor or the Customer shall be released from responsibility for full or partial non-fulfillment of their obligations, if the non-fulfilment is the result of force majeure circumstances such as: war or hostilities, earthquake, flood, fire and other natural disasters that occurred regardless of the will of the Contractor and/or The customer after concluding this contract. A Party that cannot fulfill its obligations shall immediately notify the other Party thereof.

7.    CONFIDENTIALITY AND PROTECTION OF PERSONAL DATA.

7.1.   By providing their personal data, the personal data of the Customer's authorized representatives, on the information resources of the ZOOSTRICHI platform when registering or placing an Order, the Customer, the Customer's officials, authorized persons give the Contractor their voluntary consent to the processing, use (including transfer) of their personal data , as well as taking other actions provided for by the Law of Ukraine "On the Protection of Personal Data", without limiting the validity period of such consent.

7.2.   The Contractor undertakes not to disclose the information received from the Customer. It is not considered a violation for the Contractor to provide information to counterparties and third parties acting on the basis of a contract with the Contractor, including for the fulfillment of obligations to the Customer, as well as in cases where the disclosure of such information is established by the requirements of the current legislation of Ukraine.

7.3.   The Customer, officials, authorized persons of the Customer are responsible for keeping their personal data up-to-date. The contractor is not responsible for poor performance or failure to fulfill its obligations due to the irrelevance of information about the Customer or its inconsistency.

 

8.     OTHER TERMS

8.1.    This contract is concluded on the territory of Ukraine and is valid in accordance with the current legislation of Ukraine.

8.2.  All disputes arising between the Customer and the Contractor shall be resolved through negotiations. In case of failure to reach a settlement of the disputed issue through negotiations, the Customer and/or the Contractor have the right to apply for a resolution of the dispute to the judicial authorities in accordance with the current legislation of Ukraine.

8.3.  The Contractor has the right to make changes to this Agreement unilaterally, provided for in Clause 5.2.1. Agreement. In addition, changes to the Agreement can also be made by mutual consent of the Parties in accordance with the procedure provided for by the current legislation of Ukraine.
